Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Transport Management System and related websites, applications, and services (collectively, the “Services”) offered by or on behalf of Bycon (“Operator,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. The Services

The Services support transportation and workforce operations, which may include scheduling, dispatch-related features, driver or staff tools, timesheets, document handling, and communications such as email or SMS notifications. Features vary by deployment and user role. We may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.

2. Eligibility and accounts

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

3. Text messaging (SMS) terms

By providing your mobile number and opting in where consent is required, you consent to receive text messages from us relating to the Services as described at the point of collection (for example, trip updates or operational notices).

  • Frequency: Message frequency varies based on your interactions and service settings.
  • Cost: Message and data rates may apply; contact your carrier with questions about your plan.
  • Opt-out: You may opt out of promotional texts as instructed in those messages (e.g., STOP). Operational messages may continue where permitted.
  • Support: Reply HELP or email [email protected].
  • Carriers: Participating carriers may change; we are not responsible for delays or failures by carriers or networks.

4. Acceptable use

You agree not to:

  • Violate law or third-party rights;
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems;
  • Interfere with or disrupt the Services or infrastructure;
  • Use the Services to send spam, unlawful, or misleading communications;
  • Reverse engineer, scrape, or misuse the Services except as permitted by applicable law;
  • Use the Services in any way that could harm passengers, the public, or transportation safety.

5. Content and data

You retain your rights in content you submit. You grant us a license to use, store, and process such content as needed to provide and improve the Services and comply with law. You represent that you have the rights necessary to grant this license.

6. Third-party services

The Services may integrate with or link to third-party services (maps, messaging providers, payment processors, etc.). Those services are governed by their own terms and privacy policies; we are not responsible for third-party services.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. TRANSPORTATION SERVICES MAY BE PROVIDED BY THIRD PARTIES; THE OPERATOR’S SOFTWARE DOES NOT REPLACE COMPLIANCE WITH APPLICABLE TRANSPORTATION, SAFETY, OR INSURANCE REQUIREMENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF NO FEES WERE PAID. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Indemnity

You will defend, indemnify, and hold harmless the Operator and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.

10. Termination

We may suspend or terminate access to the Services for violation of these Terms or for operational or legal reasons. You may stop using the Services at any time. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which the Operator is organized, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your jurisdiction apply. Courts in that state (or federal courts located there, if applicable) will have exclusive jurisdiction for disputes, unless a different forum is required by law.

12. Changes

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Continued use after changes become effective constitutes acceptance, except where applicable law requires additional consent.
